1. Century 21 Realty Concepts, its agents, and any third party vendors are solely representing Seller, and are in no way representing or an agent of Bidder and/or prospective buyer. Bidders and prospective buyers are encouraged to seek appropriate counsel.

2. Property is offered at auction by Seller with reserve, subject to seller confirmation of the final sale price. Seller has established an unpublished reserve, however, upon auction close, Seller may, at their sole discretion, accept a high bid for less than their unpublished reserve, and accept an advantageous purchase offer without prior notice to any bidder. The seller appears to be interested in selling this property in good faith, and Century 21 Realty Concepts expects a successful property sale at the conclusion of the auction.

3. This auction is not contingent upon buyer financing. A proof of funds letter must be provided by each buyer. Your bid may be voided by the auctioneer if a proof of funds letter is not received by the close of the auction. Successful high bidder will be required to remit 10% of the high bid as escrow to Niebruggie-Reimers & Imbrugia, LLC by the close of business on the next business day following the auction. Escrowed funds are non-refundable. The high bidder will be instructed by Niebruggie-Reimers & Imbrugia, LLC as to instructions for deposit of escrow monies.

4. Successful high bidder will also be required to enter into the purchase contract provided by Auctioneer within 24 hours of the close of auction. A copy of the contract is provided in the property brochure for review prior to bidding.

5. Legal, Title, Escrow, and Closing services shall be provided by Niebrugge-Reimers & Imbrugia, LLC, Effingham, Illinois, or their assigns.

6. Seller shall provide Buyer with marketable title to the property as conveyed by recordable deed. Seller shall also provide Buyer with Owner's Title Insurance Policy. Any Lender title insurance policy shall be responsibility of the Buyer. Any survey, environmental study, soil analysis or other professional service required for buyer satisfaction shall be performed by buyer at their sole expense. All professional services and inspections must be approved by Seller prior to initiation. Tax or Revenue Stamps shall be paid by Seller, Any Closing Agent fee or charges shall be paid by Buyer.

7. Auctioneer is the sole and final authority for acceptance of any and all bids.

8. Closing shall occur within 45 days of close of auction at a time and place to be determined by Seller in conjunction with Niebrugge-Reimers & Imbrugia, LLC, or their assigns.

9. Broker can decline any prospective bidder, buyer, broker, or agent who fails to complete any necessary requirements or whose participation is deemed to be to be detrimental to the Seller, as determined by Broker.

10. All sales are presented without warranty or guarantee by Broker or Seller, and are offered and sold on an "As-is, Where-is" basis.

11. Neither Seller nor Broker shall be liable for the accuracy of any information provided or statements made regarding the property. Bidder or prospective buyers have sole responsibility to independently verify any information provided. Any announcement by Broker before or during auction shall take precedence over any previously printed, advertised, or marketed material.
