ONLINE REAL ESTATE AUCTION TERMS AND CONDITIONS

Online Auction: The auction will be conducted as a timed ONLINE ONLY AUCTION. The auction will begin on Aug. 3, 2022 and end on August 24, 2022 @ 2:00 PM. The property is located at 4455 Roosevelt Blvd. (Elliott Dr.) Middletown, OH. The property will sell to the highest bidder subject
to confirmation within one hour after the conclusion of the bidding. Interested persons can participate in the bidding from their computer or mobile device by logging on and registering at www.AssetRealtyAuctions.com.

This auction is not contingent on or subject to the purchaser being able to obtain financing. Per the contract, time is of the essence;' the winning bidder should proceed to closing immediately upon being notified that their bid has been accepted. The closing must take place within 30 days of
the date the online bidding ends. If the closing is delayed for any reason by the purchaser or other parties working on behalf of the purchaser, including any lender, the purchaser may be declared in breach of the contract, forfeit all deposits made, and could be additionally liable for any and
all costs incurred by the seller and Asset Realty Auctions in a subsequent resale of the property. When you place a bid, you are acknowledging that you have read and agreed to the terms of the Contract to Purchase.

Registration: All bidders must register with a valid credit card to participate in the auction.

Buyer Premium: A ten percent (10%) buyer premium will be added to the high bid amount to determine the full purchase amount to be paid by the purchaser. The full purchase price for the real estate is defined as the sum of the final bid amount acknowledged and accepted by the seller, plus the ten percent (10%) Buyer Premium amount which will be added to the high bid amount.
Example: High bid amount of $100,000 plus the 10% buyer premium equals a contract purchase price of $110,000.

Contract: If the high bid amount is acceptable to the Seller, a completed and executed (by the seller) Purchase Contract will be sent by e-mail to the successful high bidder within one hour of the conclusion of the bidding. The successful high bidder must electronically execute the contract within
one hour of receipt. If there are any discrepancies between these terms and conditions and the Purchase Contract, the Purchase Contract shall prevail.

Deposit: The successful high bidder must deliver a non-refundable down payment equal to 10% of the purchase price (inclusive of the buyer premium) to Asset Realty Auctions by wire transfer or a cashier's check no later than 4:00 PM the day following the auction conclusion. High Bidder
should contact Cindy Chambers at 513.724.1133 for wiring instructions. Delivery of the cashier's check may be made on that date between 9:00 AM & 4:00 PM to the offices of Asset Realty Auctions which are located at 1126 Old St. Rt. 74, Batavia, OH 45103. Failure to execute the Purchase
Contract and tender the down payment as outlined in these terms and conditions will be in default.

Collection and Attorney Fees: In the event Asset Realty Auctions or the seller has to engage counsel or collection companies to assist in enforcing any part of the auction Contract to Purchase, terms and conditions or collection of all or part of the down payment or full purchase amount from any
bidder, Buyer, or other such party, Buyer or other such party shall be responsible and agrees to pay for all reasonable fees including without limitation attorney fees, collection costs, and all expenses incurred by Asset Realty Auctions or seller including without limitation costs and expenses relating
to evaluating, analyzing, assessing, enforcing, preparing for and conducting litigation of any kind or nature, whether or not legal proceedings are commenced.

If declared buyer does not adhere to these terms and conditions and the terms of the Contract to Purchase the buyer will be responsible for the costs of remarketing the property and any deficiency amount which may occur from the resale of the property.

Property Inspections: All property inspections and other due diligence must be performed prior to bidding. The property is being sold in "as is, where is condition, with caveat emptor/all faults."

Closing: Real Estate taxes and assessments on the Real Property shall be prorated to date of closing, based on the most recently available tax bill for the Real Property. Conveyance or transfer fee shall be the responsibility of the Purchaser. The purchaser shall also pay for the cost to exam
the title and all closing costs. Seller shall be responsible for payment of deed preparation fee and shall convey insurable title to the Real Estate by Limited Warranty Deed. Seller shall have the right at Closing to pay for the removal of any and all encumbrances or liens out of the Purchase
Price. Purchaser shall pay the cost to record the deed. Closing shall take place at a local title company of the purchaser's choosing or a location mutually agreed upon by Seller and Purchaser. The title company shall prepare the closing statement for reviewby all
parties.

Asset Realty Auctions reserves the right to remove or cancel the bids and or bidding rights and privileges of any party, deemed not to be in the best interest of the seller.
