Listing Terms and Conditions
Terms of Sale:
Triple A Realty is offering this real estate at online auction with reserve. A Buyer's Premium of three percent (3%) shall be added to the final high bid to determine the total purchase price.
The Property is being sold "as-is, where-is", with no warranties or representations, express or implied. All inspections and due diligence are the sole responsibility of the Buyer and must be completed prior to the close of the auction. There shall be no inspection or financing contingencies.
Contract Execution:
By registering for and participating in the auction, all bidders acknowledge that they have reviewed and accepted the Auction Terms and Conditions and the form of Purchase and Sale Agreement prior to bidding.
The high bidder shall be required to execute the Purchase and Sale Agreement immediately following the close of the auction without modification. The terms of the Purchase and Sale Agreement are not subject to further negotiation.
Any failure or refusal to execute the Purchase and Sale Agreement as presented shall constitute a default.

Earnest Money:
The successful bidder shall deliver an earnest money deposit in the amount of $50,000.00, which shall be due no later than 10:00 a.m. on the business day following the close of the auction, unless other arrangements are made with Broker prior to the auction closing.

Closing:
Closing shall occur within approximately Sixty (60) calendar days following execution of the Purchase and Sale Agreement, unless otherwise agreed in writing.
Seller Approval:
All bids are subject to approval by Seller through its governing process.
Seller will respond within approximately seventy-two (72) hours following the close of the auction, or as soon thereafter as reasonably practicable based on Seller's approval process.

Governing Process:
Seller acknowledges that the City Council is scheduled to establish a minimum declared value for the Property pursuant to Idaho Code § 50-1402 at a public hearing to be held on June 24, 2026.
Idaho Code § 50-1403(1) provides in part:
"When the property is offered for sale, the property shall be sold at a public auction to the highest bidder and no bids shall be accepted for less than the minimum declared value previously recorded on the record at a public meeting of the council. No bid below the minimum declared value shall be accepted."

Pre-Auction Offers / Method of Sale:
Pre-auction offers may be submitted at any time. Broker will present all offers received to Seller in accordance with Idaho law.
Seller acknowledges that the Property is being offered for sale through an auction process as required by Seller's governing process for this transaction, and that Seller is required to complete the sale through that process, with any acceptance of an offer occurring through the auction.
Seller may consider any pre-auction offer in establishing the opening or current high bid for the auction.
Buyers acknowledge that all offers are subject to the auction process, and that all bidders will have the opportunity to compete at or above any price and terms presented. Submission of a pre-auction offer does not create a contract or obligate Seller to accept such offer outside of the auction process.
Closing Costs and Prorations:
The cost of the owner's policy of title insurance shall be paid by Seller. Escrow and closing fees shall be divided equally between Buyer and Seller.
Real property taxes shall be prorated as of the date of closing.
