LEGACY HOME AND ESTATE SERVICES
TERMS AND CONDITIONS OF USE AND AUCTION PARTICIPATION Effective Date: June 13, 2026 1. ACCEPTANCE OF TERMS These Terms and Conditions govern the use of all websites, auction platforms, services, and applications operated by Legacy Home and Estate Services, Legacy Louisville, and Legacy Home Realtors (collectively referred to as “Legacy”). By accessing the website, registering an account, placing bids, consigning property, purchasing property, selling property, attending pickups, or otherwise participating in any Legacy auction or transaction, you acknowledge that you have read, understand, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, do not use the website or participate in any auction. ⸻ 2. SERVICES PROVIDED Legacy Louisville operates an online auction marketplace specializing in estate property, collectibles, vehicles, firearms, business liquidations, charitable fundraising auctions, bourbon and spirits auctions, and consignment sales. Legacy Home Realtors provides real estate brokerage services. Legacy acts as agent for sellers unless otherwise disclosed. All property is sold AS IS, WHERE IS, WITH ALL FAULTS, and without warranty or guarantee of any kind. ⸻ 3. ELIGIBILITY TO BID Users must be at least eighteen (18) years of age to register and bid. Certain items, including firearms and alcoholic beverages, may require purchasers to be twenty-one (21) years of age or older and satisfy all applicable federal, state, and local laws. Legacy reserves the right to refuse service, deny registration, suspend accounts, revoke bidding privileges, or cancel registrations at any time and for any reason. ⸻ 4. USER ACCOUNTS Users are responsible for maintaining the confidentiality of their usernames and passwords. All activity conducted through a registered account shall be deemed authorized by the account holder. Bidders are responsible for all bids placed from their account regardless of who placed the bid. Claims involving accidental bidding, unauthorized family members, employees, friends, device access, account sharing, or similar circumstances shall not relieve the bidder of responsibility. ⸻ 5. ELECTRONIC COMMUNICATIONS By creating an account and participating in auctions, users consent to receive communications electronically, including invoices, notices, auction updates, payment requests, collection notices, pickup reminders, shipping notifications, and marketing communications. Electronic communications satisfy any legal requirement that communications be in writing. ⸻ 6. PAYMENT PROCESSING AND CARD AUTHORIZATION Legacy utilizes third-party payment providers including Stripe, PayPal, and other payment processors. Legacy does not directly store complete payment card information. By registering to bid, the bidder expressly authorizes Legacy Home and Estate Services, Legacy Louisville, Legacy Home Realtors, and their affiliates to charge the credit card on file for: * Auction purchases * Buyer’s Premiums * Sales taxes * Shipping charges * Delivery charges * Missed pickup fees * Labor charges * Moving fees * Disposal fees * Storage fees * Administrative fees * Collection costs * Chargeback costs * Any amounts due under these Terms and Conditions Declined payments may result in account suspension, collections activity, legal action, and loss of bidding privileges. ⸻ 7. BIDDING TERMS ALL BIDS ARE FINAL AND LEGALLY BINDING. A valid credit or debit card is required to bid. Bidders may not retract bids. Legacy reserves the right to reject, reopen, extend, cancel, combine, divide, regroup, withdraw, or modify lots and auctions at its sole discretion. Legacy’s determination of the winning bidder shall be final. ⸻ 8. EXTENDED BIDDING Legacy utilizes “Popcorn,” “Soft Close,” or “Extended Bidding.” If a bid is received during the final moments of a lot’s closing period, the lot’s closing time may automatically extend. Extensions may continue until bidding activity ceases. ⸻ 9. BUYER’S PREMIUM A Buyer’s Premium shall be added to all purchases. The applicable Buyer’s Premium is displayed within each auction and becomes part of the total purchase price. ⸻ 10. SALES TAX Applicable sales taxes required by Kentucky, Indiana, and other applicable jurisdictions shall be collected. Tax exemption documentation must be received and approved before auction closing. Vehicle taxes, registration fees, title fees, and similar government-imposed charges remain the responsibility of the purchaser. ⸻ 11. ITEM DESCRIPTIONS, PHOTOGRAPHS, AND AI DISCLOSURE AI-Generated Descriptions Descriptions may be generated or assisted through artificial intelligence and are provided for convenience only. Descriptions are not guarantees of authenticity, condition, age, provenance, functionality, completeness, or value. AI-Enhanced Photography Due to estate environments, lighting limitations, storage conditions, and space restrictions, Legacy may utilize artificial intelligence and digital enhancement tools on primary listing photographs. Enhancements may improve visibility, readability, contrast, lighting, serial numbers, labels, markings, and text. These enhancements do not alter, repair, restore, or modify the actual item being sold. Secondary and supporting photographs are generally unedited and should be reviewed carefully. Condition Disclaimer ALL ITEMS ARE SOLD AS IS, WHERE IS, WITH ALL FAULTS. The absence of a condition report does not imply an item is free of defects. Bidders are responsible for conducting their own inspections and evaluations. No statement made by Legacy, whether written or verbal, shall be deemed a warranty. ⸻ 12. ESTATE PROPERTY DISCLAIMER Many items offered through Legacy originate from estates, trusts, business liquidations, storage facilities, consignments, and other third-party sources. Legacy often relies upon information provided by sellers and cannot guarantee the history, provenance, ownership history, authenticity, repairs, functionality, completeness, prior use, or value of any item. ⸻ 13. PICKUP REQUIREMENTS SCHEDULING A PICKUP APPOINTMENT IS REQUIRED. Buyers must schedule a pickup appointment through Legacy’s designated scheduling platform. Failure to schedule an appointment does not relieve the buyer of responsibility. Buyers are responsible for ensuring they receive all purchased items before leaving the pickup location. No refunds shall be issued for items left behind after pickup. ⸻ 13A. AUCTION NOTIFICATIONS AND EMAIL DELIVERY Legacy Home & Estate Services provides auction notifications, invoices, outbid notices, winning bidder notices, pickup reminders, text messages, emails, and other communications as a courtesy. Legacy does not guarantee the delivery, receipt, timing, or accuracy of any email, text message, push notification, or other communication. Notifications may be delayed, filtered, blocked, rejected, redirected, quarantined, or otherwise affected by spam filters, internet service providers, email providers, mobile carriers, security software, user settings, server outages, technical failures, or other factors beyond Legacy’s control. It is the bidder’s sole responsibility to monitor their account, review auction activity, verify bids, confirm purchases, check invoice status, and review pickup instructions. Bidders are strongly encouraged to log into their account following auction close to verify whether they have won any items and to review any outstanding invoices, pickup requirements, or account notifications. Failure to receive an invoice, email, text message, outbid notice, winning bidder notification, pickup reminder, shipping notification, or other communication shall not relieve a bidder of responsibility for payment, pickup, compliance with auction terms, or any other obligations arising from participation in an auction. ⸻ 13B. WEATHER AND PICKUP POLICY Weather conditions do not relieve a bidder of their obligation to pick up purchased items during the designated pickup period. Rain, snow, heat, cold, traffic conditions, road construction, scheduling conflicts, work obligations, travel plans, sporting events, school activities, or similar circumstances shall not constitute grounds for extending pickup deadlines or waiving missed pickup fees. In the event of severe weather, natural disasters, tornado warnings, declared emergencies, widespread power outages, flooding, ice storms, or other significant events that materially affect public safety, Legacy may, at its sole discretion, modify pickup schedules, extend pickup deadlines, reschedule pickup appointments, or temporarily suspend pickup operations. If pickup schedules are modified due to severe weather or emergency conditions, Legacy will make reasonable efforts to communicate updated pickup information to affected bidders. Legacy reserves the sole right to determine whether weather or emergency conditions warrant modification of pickup schedules. Failure to attend pickup due to ordinary weather conditions shall remain subject to all missed pickup fees, handling fees, labor charges, transportation charges, storage charges, disposal charges, and other fees permitted under these Terms and Conditions. ⸻ 14. MISSED PICKUPS AND ABANDONED PROPERTY FAILURE TO PICK UP PURCHASED ITEMS WILL RESULT IN FEES. A minimum fee of $20 per item shall be charged for missed pickups. Additional labor, transportation, moving, disposal, storage, administrative, or rescheduling fees may apply. THESE FEES APPLY TO ALL BIDDERS WITHOUT EXCEPTION. Items not removed during the designated pickup period and without written approval from Legacy may be deemed abandoned. Abandoned items may be resold, donated, recycled, destroyed, or otherwise disposed of without notice or compensation. No employee, volunteer, consignor, friend, family member, customer, or bidder may waive these fees or requirements. Any exception must be approved in advance by the Auctioneer or an authorized Legacy representative. Failure to enforce any provision on one occasion shall not constitute a waiver of future enforcement. ⸻ 15. MOVING, LOADING, AND REMOVAL LEGACY STAFF ARE NOT MOVERS. Legacy employees are not movers, riggers, installers, contractors, or transportation providers. Buyers are solely responsible for bringing adequate labor, tools, equipment, packing materials, and vehicles necessary to remove purchased property safely. Legacy assumes no responsibility for injuries, property damage, loading assistance, disassembly, or transportation. Local delivery, moving assistance, and special services may be available for additional fees when arranged in advance. Legacy makes no guarantee that purchased items can be removed without disassembly, structural modification, or specialized equipment. ⸻ 16. SHIPPING Shipping may be available for certain items. Shipping costs are separate from auction invoices. Legacy may utilize third-party shipping providers. Once property is transferred to a carrier, all liability transfers to the buyer and carrier. Legacy is not responsible for shipping delays, loss, theft, damage, insurance claims, delivery errors, customs issues, or carrier performance. ⸻ 17. FIREARMS Firearms must be transferred through a licensed Federal Firearms License (FFL) holder. Buyers are responsible for complying with all federal, state, and local laws. Background checks, transfer fees, shipping fees, and related costs remain the responsibility of the purchaser. FAILURE TO PASS A BACKGROUND CHECK DOES NOT ENTITLE THE BUYER TO A REFUND. Buyer’s Premiums, labor charges, transfer fees, and administrative fees remain non-refundable. Firearms may only be shipped to licensed FFL dealers where permitted by law. ⸻ 18. ALCOHOLIC BEVERAGES, BOURBON, AND SPIRITS Buyers must be at least twenty-one (21) years of age to purchase alcoholic beverages. Vintage, collectible, sealed, or unopened bottles are sold primarily as collectible items. Legacy makes no representation regarding drinkability, taste, storage conditions, cork integrity, seal condition, evaporation levels, authenticity of contents, or suitability for consumption. Buyers are responsible for complying with all applicable federal, state, and local laws regarding the purchase, possession, transportation, and shipment of alcoholic beverages. Shipping of alcoholic beverages may be restricted or prohibited depending upon applicable law. ⸻ 19. VEHICLES Vehicles are sold AS IS, WHERE IS without warranty. Buyers are responsible for inspections, transportation, registration, taxes, title transfer, insurance, emissions compliance, and all legal requirements. ⸻ 20. WEBSITE AVAILABILITY, TECHNOLOGY LIMITATIONS, AND LIABILITY Technology is inherently subject to interruptions, delays, outages, bugs, errors, compatibility issues, security incidents, software defects, and unforeseen failures. Legacy does not guarantee uninterrupted website operation. Legacy shall not be liable for: * Website outages * Missed bids * Delayed bids * Lost bids * Email failures * Text message failures * Mobile device issues * Browser issues * Payment processor interruptions * AI-generated errors * Server failures * Internet connectivity problems * User errors * Technical failures of any kind Legacy shall not be liable for missed bids, missed auction opportunities, missed invoices, missed pickup appointments, missed notifications, missed communications, or any losses resulting from a bidder’s failure to receive or review electronic communications. Legacy reserves the right to extend, pause, reopen, cancel, modify, or otherwise adjust auctions affected by technical issues. Legacy’s decisions shall be final. ⸻ 21. NO RETURNS, REFUNDS, OR CHARGEBACKS ALL SALES ARE FINAL. NO RETURNS. NO REFUNDS. NO EXCHANGES. Except where required by law, all purchases are final. Initiating a chargeback without first contacting Legacy to attempt resolution constitutes a violation of these Terms. The bidder agrees to reimburse Legacy for all attorney fees, collection costs, administrative fees, and expenses associated with chargebacks. ⸻ 22. FRAUD AND ACCOUNT TERMINATION Fraudulent bidding, shill bidding, payment fraud, bid manipulation, false registrations, harassment, and auction interference are prohibited. Legacy reserves the right to suspend or permanently terminate accounts at its discretion. ⸻ 23. COLLECTION COSTS The bidder agrees to pay all collection costs, attorney fees, court costs, arbitration fees, interest, and collection agency fees incurred in recovering amounts owed. ⸻ 24. LIMITATION OF LIABILITY THE WEBSITE, AUCTION PLATFORM, AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. UNDER NO CIRCUMSTANCES SHALL LEGACY HOME AND ESTATE SERVICES, LEGACY LOUISVILLE, LEGACY HOME REALTORS, THEIR OWNERS, OFFICERS, AUCTIONEERS, BROKERS, EMPLOYEES, CONTRACTORS, AFFILIATES, REPRESENTATIVES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. IN ALL CASES, LEGACY’S MAXIMUM LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE ACTUALLY PAID FOR THE ITEM GIVING RISE TO THE CLAIM. ⸻ 25. ACCESSIBILITY Legacy strives to make its website accessible to all users and will make reasonable efforts to accommodate accessibility requests. ⸻ 26. GOVERNING LAW These Terms shall be governed exclusively by the laws of the Commonwealth of Kentucky. ⸻ 27. ARBITRATION AND CLASS ACTION WAIVER All disputes shall be resolved through binding arbitration pursuant to the Federal Arbitration Act. Claims may only be brought on an individual basis. CLASS ACTIONS, CONSOLIDATED ACTIONS, AND REPRESENTATIVE ACTIONS ARE EXPRESSLY WAIVED. ⸻ 28.
