USER AGREEMENT AND TERMS OF USE
Effective Date: June 13, 2026
Welcome to VSP Auctions and Estate Sales ("Platform," "we," "us," or "our"). These User Agreement and Terms of Use ("Agreement") govern your access to and use of our online auction marketplace for estate sales, business liquidations, asset liquidations, and related services. By creating an account, registering as a bidder, listing items for sale, or otherwise using the Platform, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Platform.
1. ELIGIBILITY
You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform. By using the Platform, you represent and warrant that:
• You are at least 18 years old;
• The information you provide is accurate and complete;
• You have authority to enter into this Agreement;
• You will comply with all applicable laws and regulations.
2. PLATFORM SERVICES
The Platform provides an online marketplace that allows sellers, estate representatives, liquidation companies, businesses, and other authorized parties ("Sellers") to offer property for sale through online auctions. The Platform acts solely as a venue facilitating transactions between buyers and sellers unless expressly stated otherwise. We do not own, inspect, authenticate, store, transport, or guarantee items offered for sale unless specifically disclosed.
3. ACCOUNT REGISTRATION
Users must create an account to participate in auctions. You agree to:
• Provide accurate registration information;
• Keep your information current;
• Maintain the confidentiality of your login credentials;
• Notify us immediately of unauthorized account use.
You are responsible for all activity conducted through your account. We reserve the right to suspend or terminate accounts at our sole discretion.
4. AUCTION RULES
4.1 Binding Bids
All bids are legally binding offers to purchase.
When you place a bid, you enter into a binding contractual obligation if you become the winning bidder. Bids may not be withdrawn except where required by law or expressly permitted by the Platform.
4.2 Reserve Auctions
Some auctions may be conducted with reserve prices. If the reserve price is not met, the seller may decline the highest bid.
4.3 Extended Bidding
The Platform may utilize automatic bidding extensions designed to discourage last-second bidding. If a bid is placed near the scheduled auction closing time, the auction may be extended.
4.4 Bid Increments
The Platform may establish minimum bid increments. Bids that do not meet the required increment may be rejected.
4.5 Auction Errors
The Platform reserves the right to cancel, suspend, reopen, or modify any auction in the event of:
• Technical errors;
• Fraud;
• System failures;
• Data corruption;
• Mistaken listings;
• Other circumstances affecting auction integrity.
5. ITEM DESCRIPTIONS AND CONDITION
All items are sold "AS IS," "WHERE IS," and "WITH ALL FAULTS."
Descriptions, photographs, dimensions, and condition reports are provided for convenience only. The Platform and Sellers do not guarantee:
• Accuracy of descriptions;
• Authenticity;
• Merchantability;
• Fitness for a particular purpose;
• Completeness of information.
Buyers are responsible for conducting their own inspections and due diligence before bidding. Failure to inspect an item does not relieve a buyer of the obligation to complete the purchase.
6. PAYMENT TERMS
Winning bidders agree to pay:
• Final bid amount;
• Buyer's premium (if applicable);
• Taxes;
• Shipping charges;
• Handling fees;
• Storage fees;
• Other disclosed charges.
Payment must be made within the timeframe stated in the auction listing. Accepted payment methods may include:
• Credit cards;
• Debit cards;
• ACH transfers;
• Wire transfers;
• Other approved payment methods.
Failure to pay may result in account suspension, cancellation of purchases, collection efforts, and legal action.
7. BUYER'S PREMIUM
The Platform may charge a buyer's premium on successful purchases. Any buyer's premium will be clearly disclosed before bidding. The buyer's premium becomes part of the total purchase price owed.
8. SALES TAX
Applicable sales tax will be collected as required by law. Buyers claiming tax-exempt status must provide acceptable documentation before payment is due.
9. PICKUP, SHIPPING, AND DELIVERY
Buyers are responsible for timely pickup or arranging shipment of purchased items unless otherwise stated. Failure to remove items within the designated time period may result in:
• Storage fees;
• Abandonment of property;
• Disposal of items;
• Forfeiture of payments made.
Risk of loss passes to the buyer upon pickup or transfer to a shipping carrier, unless otherwise required by law.
10. SELLER RESPONSIBILITIES
Sellers represent and warrant that:
• They own the items offered for sale or have authority to sell them;
• Listings are truthful and accurate to the best of their knowledge;
• Items do not violate applicable laws;
• They have disclosed known material defects where required by law.
Sellers remain responsible for compliance with all legal obligations related to their listings.
11. PROHIBITED ITEMS
The Platform may prohibit the listing or sale of items including, but not limited to:
• Illegal goods;
• Stolen property;
• Counterfeit products;
• Hazardous materials;
• Controlled substances;
• Firearms or regulated weapons where prohibited;
• Items that violate intellectual property rights.
We reserve the right to remove listings at any time.
12. FEES
The Platform may charge fees to buyers, sellers, or both. Fees may include:
• Buyer's premiums;
• Seller commissions;
• Listing fees;
• Payment processing fees;
• Storage fees;
• Shipping-related fees.
All fees are non-refundable unless required by law.
13. USER CONDUCT
Users agree not to:
• Manipulate bidding activity;
• Engage in shill bidding;
• Commit fraud;
• Use automated bidding software without authorization;
• Interfere with Platform operations;
• Submit false information;
• Violate any applicable law.
Violations may result in immediate account suspension or termination.
14. INTELLECTUAL PROPERTY
All Platform content, including logos, software, designs, text, graphics, and trademarks, is owned by or licensed to the Platform. Users may not reproduce, distribute, or exploit Platform content without written permission.
15. PRIVACY
Your use of the Platform is subject to our Privacy Policy. By using the Platform, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.
16. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:
• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY OF INFORMATION;
• UNINTERRUPTED ACCESS.
WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE OR AVAILABLE AT ALL TIMES.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR:
• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• LOST PROFITS;
• LOST DATA;
• BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
(a) THE FEES PAID TO THE PLATFORM DURING THE PRECEDING TWELVE (12) MONTHS; OR
(b) ONE HUNDRED DOLLARS ($100).
18. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Platform and its affiliates, owners, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from:
• Your use of the Platform;
• Your violation of this Agreement;
• Your violation of any law;
• Your infringement of any third-party rights.
19. DISPUTE RESOLUTION
Any dispute arising from this Agreement shall first be submitted to informal negotiation. If a dispute cannot be resolved informally, it shall be resolved through binding arbitration conducted in Riverside County, CA. Users waive the right to participate in class-action lawsuits or class-wide arbitration to the extent permitted by law.
20. GOVERNING LAW
This Agreement shall be governed by and construed under the laws of the State of [State], without regard to conflict of law principles.
21. TERMINATION
We may suspend or terminate access to the Platform at any time, with or without notice, for any violation of this Agreement or for any other lawful reason. Termination does not relieve users of obligations incurred prior to termination.
22. MODIFICATIONS TO TERMS
We reserve the right to modify this Agreement at any time. Updated terms will be posted on the Platform with a revised effective date. Continued use of the Platform after changes become effective constitutes acceptance of the revised terms.
23. SEVERABILITY
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
24. ENTIRE AGREEMENT
This Agreement, together with any incorporated policies, constitutes the entire agreement between the user and the Platform regarding use of the services.

The Platform acts solely as a venue facilitating transactions between buyers and sellers unless expressly stated otherwise. We do not own, inspect, authenticate, store, transport, or guarantee items offered for sale unless specifically disclosed. 3. ACCOUNT REGISTRATION Users must create an account to participate in auctions. You agree to: • Provide accurate registration information; • Keep your information current; • Maintain the confidentiality of your login credentials; • Notify us immediately of unauthorized account use. You are responsible for all activity conducted through your account. We reserve the right to suspend or terminate accounts at our sole discretion. 4. AUCTION RULES 4.1 Binding Bids All bids are legally binding offers to purchase. When you place a bid, you enter into a binding contractual obligation if you become the winning bidder. Bids may not be withdrawn except where required by law or expressly permitted by the Platform. 4.2 Reserve Auctions Some auctions may be conducted with reserve prices.
