Terms of Sale
Triple A Realty is offering this real estate through an online auction with reserve. The auction will begin with a starting bid of $500,000.
A Buyer�s Premium of three percent (3%) shall be added to the final high bid to determine the total Purchase Price.
The Property is being sold �as-is, where-is,� with no warranties or representations, express or implied. All inspections and due diligence are the sole responsibility of the Buyer and must be completed before the auction closes. There shall be no inspection or financing contingencies.
Contract Execution
By registering for and participating in the auction, all bidders acknowledge that they have reviewed and accepted the Auction Terms and Conditions and the form of Purchase and Sale Agreement before bidding.
The successful bidder shall execute the Purchase and Sale Agreement immediately following the close of the auction, without modification. The terms of the Purchase and Sale Agreement are not subject to further negotiation.
Failure or refusal to execute the Purchase and Sale Agreement as presented shall constitute a default.
Earnest Money
The successful bidder shall deliver an earnest money deposit of $50,000. The earnest money must be received no later than 10:00 a.m. Mountain Time on the business day following the close of the auction, unless other arrangements are made with Broker before the auction closes.
Closing
Closing shall occur within forty-five (45) calendar days following full execution of the Purchase and Sale Agreement by Buyer and Seller, unless otherwise agreed in writing.
Seller Approval
All bids are subject to approval by the City of Heyburn through its governing process.
The City reserves the right to accept or reject any bid. The City will respond within 10 business days following the close of the auction, or as soon thereafter as reasonably practicable based on the City�s public approval process.
Governing Process
The City of Heyburn has completed the initial public auction process required by Idaho Code � 50-1403(1), and no bids were received. The City Council may now sell the Property as it determines to be in the City�s best interest. The City has elected to offer the Property through this second auction, with the final high bid subject to approval through the City�s governing process.
Pre-Auction Offers and Method of Sale
Pre-auction offers may be submitted at any time and will be presented to the City for consideration. Any decision regarding a pre-auction offer will be made by the City through its governing process, based on what the City determines to be in its best interest. Idaho Code � 50-1403(1)
Closing Costs and Prorations
Seller shall pay the cost of the owner�s policy of title insurance. Escrow and closing fees shall be divided equally between Buyer and Seller.
Real property taxes shall be prorated as of the date of closing.
