Listing Terms and Conditions
AUCTION TERMS & CONDITIONS: REAL ESTATE

These Terms & Conditions apply to all real estate offered in this auction. Bidders are responsible for reviewing the complete property descriptions, disclosures, auction details, and all applicable terms prior to bidding. Property information and other specific details are provided in the auction listing.

Auction Closing: Wednesday, December 9, 2026, beginning at 12:00 PM Eastern Time.

By registering for and participating in this auction, each bidder acknowledges that they have read, understand, and agree to be legally bound by these Terms & Conditions.

1. Property Inspection & Disclaimer

All properties are offered "AS IS, WHERE IS, WITH ALL FAULTS AND DEFECTS," whether known or unknown, patent or latent, without warranties or guarantees, express or implied, as to condition, value, acreage, suitability, or fitness for any particular purpose, except as otherwise required by law.

Bidders are solely responsible for conducting all inspections, investigations, and due diligence prior to bidding, including verification of property information, public records, zoning, restrictions, and permitted uses. All information provided by the Seller, Auctioneer, or their representatives, including advertising and promotional materials, is believed to be reliable but is not guaranteed.

By placing a bid, the bidder acknowledges having had the opportunity to inspect the property, accepts its existing condition, and waives any right to further inspections or due diligence as a condition of purchase

2. Property Disclosure

All properties are sold subject to any applicable easements, rights-of-way, restrictions, covenants, encumbrances, and other matters of record. Bidders are responsible for reviewing all available property disclosures and supporting documentation prior to bidding. Additional property information, when available, may be obtained through the Property Information Package at www.TheLigonCompany.com or by contacting The Ligon Company at 803-366-3535.

3. Bidder Registration

All bidders must register and provide accurate, complete information and valid credentials prior to bidding. By registering, bidders acknowledge that they have read, understand, and agree to be legally bound by these Auction Terms & Conditions. Registration does not obligate participation; however, all bids placed are binding and subject to the terms of the auction. The Auctioneer reserves the right to approve, reject, or revoke bidder registration at its discretion.

4. Buyer's Premium: 15%

A Buyer's Premium of the percentage stated above will be added to the final high bid and included in the total contract purchase price. The Buyer's Premium does not establish or imply an agency relationship between the Auctioneer and the Bidder/Buyer.

5. Bidding & Reserves

All bids are binding, irrevocable offers to purchase and may not be withdrawn once submitted. Unless expressly advertised as an Absolute Auction, properties may be offered subject to an undisclosed reserve price and/or Seller confirmation. The Auctioneer reserves the right, but is not obligated, to place bids on behalf of the Seller up to the reserve price, where permitted by law and disclosed in accordance with applicable requirements.

For properties requiring Seller confirmation, the Seller shall have seven (7) calendar days following the auction's conclusion to accept or reject the high bid. During this period, the high bidder's offer shall remain binding and irrevocable. If the Seller rejects the high bid, the bidder shall be released from the obligation to purchase.

Properties expressly advertised as Absolute Auctions shall be sold to the highest qualified bidder without reserve or discretionary Seller confirmation, subject to applicable law and the published auction terms.

Bidder registration numbers are nontransferable.

6. Purchase Contract

Upon conclusion of bidding, the successful high bidder shall be required to execute the Purchase and Sale Agreement and any additional required documents within twenty-four (24) hours, subject to any applicable Seller confirmation. The total contract purchase price shall consist of the final high bid plus the applicable Buyer's Premium, as specified in Section 4. Failure or refusal to execute the required documents shall not release the bidder from their obligations under these Auction Terms & Conditions and may constitute bidder default, subject to Section 8. Bidder Default & Remedies.

7. Deposit: 15%

The successful high bidder shall submit an earnest money deposit equal to the percentage stated above of the total contract purchase price, in U.S. funds, within twenty-four (24) hours of the auction's conclusion, subject to any applicable Seller confirmation. The deposit shall be held in the Auctioneer's trust account and credited toward the purchase price at closing. The deposit is non-refundable in the event of Buyer Default, as provided in Section 8.

Acceptable forms of payment include wire transfer, cash, or cashier's check. Personal or company checks may be accepted at the Auctioneer's discretion, and a bank letter of guarantee may be required.

Failure or refusal to submit the required deposit within the specified timeframe shall constitute Bidder Default and shall be subject to the remedies outlined in Section 8 - Bidder Default & Remedies.

8. Bidder Default & Remedies

All bids are binding and constitute an irrevocable commitment to purchase, subject to any applicable Seller confirmation. The successful bidder is obligated to execute the Purchase and Sale Agreement, submit the required earnest money deposit, and complete the purchase in accordance with these Auction Terms & Conditions.

Buyer Default: Time is of the essence. Failure or refusal to execute the required purchase documents, submit the earnest money deposit within twenty-four (24) hours of the auction's conclusion, or complete the purchase and close within the contractual period for any reason attributable to the Buyer shall constitute Buyer Default, unless an extension is granted in writing by the Auctioneer or Seller. Failure to obtain financing, inability to secure funds, or a change of mind shall not relieve the Buyer of their contractual obligations.

Liquidated Damages: In the event of Buyer Default, the Seller shall be entitled to seek and recover the full earnest money deposit amount specified in Section 7 as agreed liquidated damages, whether or not the deposit has been paid, to the extent enforceable under applicable law. Any deposit already held shall be subject to forfeiture, and any unpaid portion shall remain due and recoverable.

The bidder acknowledges that substantial time, expense, and resources are invested in preparing, advertising, marketing, and conducting the auction. Buyer Default may result in lost opportunities with other qualified bidders, the inability to complete a sale with a backup bidder, additional carrying costs, delays, and the expense of remarketing or reselling the property. The parties acknowledge that actual damages resulting from Buyer Default would be difficult to ascertain and agree that the required deposit represents a reasonable estimate of anticipated damages and is not intended as a penalty.

Seller Default: If the Seller is unable or fails to perform their contractual obligations through no fault of the Buyer, the earnest money deposit shall be returned to the Buyer in full, without penalty, subject to the terms of the Purchase and Sale Agreement. If the Seller rejects the high bid where Seller confirmation is required, the bidder shall be released from the obligation to purchase and any deposit paid shall be returned.

Effect of Default: Refusal to sign the Purchase and Sale Agreement, failure to submit the required deposit, or failure to close does not automatically cancel the Buyer's obligations or release the Buyer from liability for agreed liquidated damages, subject to applicable law.

9. Contingencies

All properties are sold "AS IS, WHERE IS," WITH NO CONTINGENCIES. The sale is not contingent upon financing, appraisal, inspections, surveys, third-party approvals, or any other conditions imposed by the Buyer. Bidders are responsible for completing all due diligence prior to bidding and acknowledge that their obligation to purchase is not dependent upon obtaining financing or satisfying any subsequent conditions, except as expressly provided in the Purchase and Sale Agreement or required by law.

10. Environmental Disclaimer

The Seller and The Ligon Company, agents, contractors and employees do not warrant or covenant with Buyer(s) with respect to the existence or nonexistence of any pollutants, contaminants, mold, or hazardous waste prohibited by federal, state or local law or claims based thereon arising out of the actual or threatened discharge, release, disposal, seepage, migration or escape of such substances at, from or into the demised premises. Buyer is to rely upon their own environmental audit or examination of the premises.

11. Acreage and Square Footage

All acreage, square footage, dimensions, and boundary descriptions are approximate and provided for informational purposes only. While obtained from sources believed to be reliable, such information is not guaranteed by the Seller, Auctioneer, or The Ligon Company. Bidders are solely responsible for verifying all measurements, acreage, boundaries, and property information prior to bidding. No adjustment to the purchase price shall be made for any discrepancies discovered before or after the sale. Any costs associated with surveys, boundary determinations, or verification shall be the responsibility of the Buyer. All properties are sold subject to applicable easements, rights-of-way, reservations, and restrictions of record.

12. Closing

Closing shall take place within forty-five (45) days of the date the Seller executes the Purchase and Sale Agreement, unless otherwise specified in that Agreement. Buyer and Seller shall each be responsible for their respective customary closing costs in accordance with standard real estate practices, unless otherwise agreed in writing. Title insurance, if desired, shall be obtained at the Buyer's expense. Property taxes shall be prorated as of the date of closing. Any applicable rollback taxes and costs associated with surveys requested or required by the Buyer shall be the responsibility of the Buyer. Time is of the essence, and failure to close within the required timeframe due to Buyer Default shall be subject to the remedies outlined in the Bidder Default & Remedies section.

13. Agency Disclosure

T. Randolph Ligon and The Ligon Company are acting exclusively as agents of the Seller in this transaction and do not represent the Bidder/Buyer. No buyer agency or dual agency relationship is created by bidder registration, participation in the auction, or payment of the Buyer's Premium. All bidders acknowledge that the Auctioneer and The Ligon Company represent the interests of the Seller exclusively.

14. Equal Opportunity

All auctions are open to qualified bidders in accordance with applicable federal and state laws. The Ligon Company is committed to equal opportunity and fair housing practices. All properties are offered without discrimination based on race, color, religion, sex, disability, familial status, national origin, or any other classification protected by applicable law.

15. Miscellaneous

The Auctioneer reserves the right to determine bidding procedures, acceptable bid increments, resolve bidding disputes, and make final decisions regarding the conduct of the auction. The Auctioneer may reject bids, reopen bidding, or correct errors or irregularities as deemed necessary. Any announcements, updates, or corrections made by the Auctioneer prior to or during the auction shall take precedence over previously published information, advertising, or promotional materials. Bidders are responsible for reviewing all auction updates and announcements prior to bidding.

16. Broker Registration

Licensed real estate Brokers/Agents seeking compensation must register their client by 5:00 PM on the business day preceding the auction using The Ligon Company's Broker Registration Form. A commission of three percent (3%) of the final high bid price, excluding the Buyer's Premium, shall be paid to the properly registered Broker/Agent whose client successfully purchases the property and completes closing.

Broker registration must be submitted and approved by the stated deadline. Late registrations will not be accepted. No commission shall be earned or payable unless the transaction successfully closes. The separate Broker Registration Agreement shall govern all requirements for eligibility, registration, compensation, and payment. In the event of any conflict regarding broker compensation, the terms of the executed Broker Registration Agreement shall control, subject to applicable law.

17. Bidder Acknowledgment

By registering for and participating in this auction, I acknowledge that I have received, read, understand, and agree to be legally bound by these Auction Terms & Conditions. I acknowledge receipt of the applicable agency disclosure information and understand that the Auctioneer and The Ligon Company represent the Seller exclusively and do not represent me as the Bidder/Buyer.

I understand that all bids are binding and irrevocable, subject to any applicable Seller confirmation. If declared the successful bidder, I agree to execute the Purchase and Sale Agreement, submit the required earnest money deposit within the specified timeframe, and complete the purchase in accordance with these terms.

I further acknowledge that failure or refusal to fulfill these obligations may constitute Buyer Default and subject me to the liquidated damages and remedies outlined in the Bidder Default & Remedies section, including liability for the required earnest money deposit whether or not it has been paid, to the extent enforceable by law.

These Auction Terms & Conditions are incorporated into and shall form part of the Purchase and Sale Agreement upon execution, unless expressly modified by written agreement of the parties.

1. Property Inspection & Disclaimer All properties are offered "AS IS, WHERE IS, WITH ALL FAULTS AND DEFECTS," whether known or unknown, patent or latent, without warranties or guarantees, express or implied, as to condition, value, acreage, suitability, or fitness for any particular purpose, except as otherwise required by law. By placing a bid, the bidder acknowledges having had the opportunity to inspect the property, accepts its existing condition, and waives any right to further inspections or due diligence as a condition of purchase 2. Property Disclosure All properties are sold subject to any applicable easements, rights-of-way, restrictions, covenants, encumbrances, and other matters of record. Bidders are responsible for reviewing all available property disclosures and supporting documentation prior to bidding. Additional property information, when available, may be obtained through the Property Information Package at www.TheLigonCompany.com or by contacting The Ligon Company at 803-366-3535. 3. Bidder Registration All bidders must register and provide accurate, complete information and valid credentials prior to bidding. 4. Buyer's Premium: 15% A Buyer's Premium of the percentage stated above will be added to the final high bid and included in the total contract purchase price. The Buyer's Premium does not establish or imply an agency relationship between the Auctioneer and the Bidder/Buyer. 5. Bidding & Reserves All bids are binding, irrevocable offers to purchase and may not be withdrawn once submitted. 6. Purchase Contract Upon conclusion of bidding, the successful high bidder shall be required to execute the Purchase and Sale Agreement and any additional required documents within twenty-four (24) hours, subject to any applicable Seller confirmation. 7. Deposit: 15% The successful high bidder shall submit an earnest money deposit equal to the percentage stated above of the total contract purchase price, in U.S. funds, within twenty-four (24) hours of the auction's conclusion, subject to any applicable Seller confirmation. 8. Bidder Default & Remedies All bids are binding and constitute an irrevocable commitment to purchase, subject to any applicable Seller confirmation. 9. Contingencies All properties are sold "AS IS, WHERE IS," WITH NO CONTINGENCIES. 10. Environmental Disclaimer The Seller and The Ligon Company, agents, contractors and employees do not warrant or covenant with Buyer(s) with respect to the existence or nonexistence of any pollutants, contaminants, mold, or hazardous waste prohibited by federal, state or local law or claims based thereon arising out of the actual or threatened discharge, release, disposal, seepage, migration or escape of such substances at, from or into the demised premises. Buyer is to rely upon their own environmental audit or examination of the premises. 11. Acreage and Square Footage All acreage, square footage, dimensions, and boundary descriptions are approximate and provided for informational purposes only. 12. Closing Closing shall take place within forty-five (45) days of the date the Seller executes the Purchase and Sale Agreement, unless otherwise specified in that Agreement. 13. Agency Disclosure T. 14. Equal Opportunity All auctions are open to qualified bidders in accordance with applicable federal and state laws. The Ligon Company is committed to equal opportunity and fair housing practices. All properties are offered without discrimination based on race, color, religion, sex, disability, familial status, national origin, or any other classification protected by applicable law. 15. Miscellaneous The Auctioneer reserves the right to determine bidding procedures, acceptable bid increments, resolve bidding disputes, and make final decisions regarding the conduct of the auction. 16. Broker Registration Licensed real estate Brokers/Agents seeking compensation must register their client by 5:00 PM on the business day preceding the auction using The Ligon Company's Broker Registration Form. 17. Bidder Acknowledgment By registering for and participating in this auction, I acknowledge that I have received, read, understand, and agree to be legally bound by these Auction Terms & Conditions.
