Bidder acknowledges and understands that Internet auction services may or may not function correctly during the auction. Under no circumstances shall a bidder have any claim against the Auction Company, Seller, or any other party due to Internet service interruption, software failure, missed bids, or other technical issues. Auction Company will not be responsible for missed bids from any source. BUYER'S PREMIUM: A fifteen percent (15%) Buyer's Premium will be added to the high bid to determine the final purchase price of each auction lot. This includes card processing fees and is non-negotiable.

PICK UP: Saturday, October 3, 2026 from Noon�6:00 PM ONLY. Buyers must bring their own loading and moving assistance and provide all tools, equipment, vehicles, trailers, and labor necessary to remove their purchases. Auction Company and Seller will not provide loading or moving assistance. Buyers should plan accordingly before arriving.

Items not removed during the designated pickup period will be considered abandoned unless prior written arrangements have been approved by the Auction Company. No refund will be issued for abandoned items.

NO SHIPPING: This is a PICKUP-ONLY auction. NO SHIPPING IS AVAILABLE OR PROVIDED BY THE AUCTION COMPANY. Buyers are responsible for removing and transporting all purchases from the auction location.

EQUIPMENT REMOVAL: Certain items in this auction are large, heavy, permanently mounted, connected to utilities, or incorporated into the facility, including but not limited to refrigeration equipment, compressors, electrical equipment, overhead rail systems, hoists, and processing equipment.

Buyer is solely responsible for determining the labor, tools, machinery, equipment, and professional services necessary to safely remove purchased items. Where stated in the lot description or required by law, electrical, refrigeration, plumbing, gas, or other utility disconnection must be performed by an appropriately qualified and/or licensed professional.

Buyers shall not damage the building, real estate, utilities, or property of others during removal. Buyer shall be responsible for any damage caused by Buyer, Buyer's employees, contractors, agents, or other persons assisting Buyer.

ASSUMPTION OF RISK, RELEASE & HOLD HARMLESS: All persons entering the auction premises, including bidders, buyers, employees, contractors, movers, and other persons accompanying a bidder or buyer, enter the premises and participate in inspection, loading, dismantling, and removal activities at their own risk.

To the fullest extent permitted by law, Bidder/Buyer assumes all risks of personal injury, death, property damage, theft, loss, or other harm arising from or related to their presence on the premises or the inspection, dismantling, loading, removal, transportation, or handling of purchased property.
Bidder/Buyer agrees to release, indemnify, defend, and hold harmless the Seller and United Country Walton Realty & Auction Co., LLC, including their respective owners, members, officers, employees, auctioneers, agents, and representatives, from and against claims, damages, injuries, losses, liabilities, or expenses arising from or related to Bidder/Buyer's presence on the premises or the actions of Bidder/Buyer, their employees, contractors, agents, or invitees during inspection, dismantling, loading, or removal of property, except to the extent prohibited by applicable law.

Buyer is responsible for ensuring that anyone assisting with removal follows these requirements and uses appropriate equipment and safe removal practices.

INTERNET ONLINE-ONLY SPECIAL TERMS OF SALE
1. YOUR BID IS A CONTRACT TO BUY should you be the successful bidder.
2. All property is sold AS IS, WHERE IS, WITH ALL FAULTS, without warranties or guarantees, expressed or implied.
3. All sales are final. There are no returns, refunds, exchanges, or adjustments.
4. All bidders must be 18 years of age or older. Name, address, daytime phone number, email address, and a valid credit card are required for bidding approval.
5. Auction Company attempts to describe all merchandise accurately and to the best of its ability; however, descriptions, photographs, measurements, model numbers, serial numbers, operating conditions, and other information are provided for identification and convenience only. Auction Company and Seller make no representations or guarantees as to accuracy, condition, merchantability, or fitness for a particular purpose. Bidders are responsible for conducting their own inspection and due diligence prior to bidding.
6. Auction Company is not responsible for errors or omissions in descriptions, photographs, catalog information, or other auction materials.
7. Some items may be subject to a minimum bid or reserve. Other items may be sold absolute to the highest bidder.
8. By bidding on any item, Bidder acknowledges acceptance of these Terms & Conditions.
9. Auction Company reserves the right to refuse bidding privileges or service to any person.
10. All announcements, catalog updates, lot description updates, or other changes made by the Auction Company prior to the close of bidding shall take precedence over previously published or advertised information.
11. The purchaser agrees to pay reasonable attorney fees and costs incurred by Auction Company in the collection of unpaid funds. The purchaser further agrees that a fee of 4% per month may be added to any unpaid balance, along with other costs or losses resulting from purchaser's failure to comply with these terms. Any debt collection or dispute proceedings shall be heard in Wyandot County, Ohio, to the extent permitted by law.
12. Removal of purchased items is entirely the Buyer's responsibility and expense. Ownership of an item does not give Buyer permission to damage the building or other property in order to remove it. Buyer is financially responsible for damage resulting from removal activities.
STAGGERED CLOSING & SOFT CLOSE
Staggered Closing: Bidding begins to close Thursday, October 1, 2026 at 6:00 PM Eastern Time. All lots do not close simultaneously. Lots will close in catalog order at the rate established by the online bidding platform unless a lot is affected by the Soft Close provision below.
Soft Close: If a bid is placed on an item within the final two (2) minutes of bidding, the closing time for that item will be extended by two (2) minutes. The closing time will continue to extend with each new bid until two (2) minutes have elapsed without additional bidding activity. This process is intended to provide all bidders a fair opportunity to submit their final bids.

One thing I would definitely keep is the stronger removal/liability section. With buyers potentially cutting rail, disconnecting refrigeration, moving commercial processing equipment, and using their own contractors, this sale has considerably more exposure than your normal household online auction. I wrote the clause broadly, but because indemnity/liability language can be affected by Ohio law and the exact circumstances, having your attorney or insurance agent review that particular section before publishing would be worthwhile.
